Usage Terms
How Credits, allocations, top-ups and accounts work.
These Usage Terms form an integral part of, and are incorporated by reference into, the Balt General Terms of Service. Capitalized terms not defined here have the meanings given in the Definitions.
The fees, monthly allocations, and overage rates applicable to Customer are set out in the Order Form and the Price List. Balt Credits are distinct from those of any other Provider offering and are not interchangeable with them.
1. Credits
1.1 Nature of Credits
Credits are the internal billing unit used to measure Service consumption. They are not legal tender, electronic money, stored value, a crypto-asset, or any financial instrument, and have no monetary value outside the Service. Credits cannot be refunded or redeemed for cash except as expressly stated.
Credits are non-transferable. Customer may not sell, transfer, exchange, or gift Credits. Any attempt to do so is a material breach of the Agreement and may result in immediate forfeiture of the affected Credits and suspension of the Service.
1.2 Monthly Allocation
Paid plans include a monthly Credit allocation specified in the Order Form, granted at the start of each billing period. The consumption rate per operation type is set out in the Documentation and the Price List, and may change under Section 16 of the General Terms.
1.3 Credit Rollover
Unused Credits from the monthly allocation roll over for one (1) billing period following the period of allocation. Credits not consumed within that window expire automatically and are forfeited without refund.
1.4 Top-Up Credits
Where made available, Customer may purchase additional Credits (« Top-Up Credits ») at the then-current rate. Top-Up Credits do not expire and remain available across renewals and plan changes.
Credits are consumed in the following order: rolled-over Credits first, then the current period's allocation Credits, then Top-Up Credits, then Promotional Credits.
If Customer enables automatic top-ups, Customer authorizes Provider and its payment processor to charge the payment method on file when Customer's available Credit balance falls below the threshold Customer has configured, subject to any monthly spend limit configured in the Service. Customer may disable automatic top-ups at any time through the billing portal.
1.5 Promotional Credits
Provider may grant trial, referral, promotional, or other bonus Credits (« Promotional Credits »). Unless otherwise stated, they do not expire while the account remains active, are consumed after Top-Up Credits, and are non-transferable, non-refundable, and of no monetary value.
1.6 Balance Exhaustion
Upon exhaustion of the available Credit balance during a billing period, access to Credit-consuming functionality is suspended until additional Credits are made available. Customer retains access to non-Credit-consuming features, including account management, the billing portal, and historical data.
The Order Form may provide, instead of such suspension, for overage to be billed at the rate it specifies. Absent an express stipulation to that effect, no overage is billed.
1.7 Lapse or Termination of the Subscription
If the subscription lapses due to non-payment, cancellation, or expiry, Customer retains access to the Service through the end of the then-current billing period. Upon lapse, unused allocation and rolled-over Credits are forfeited without refund. Top-Up Credits and Promotional Credits remain available and are unaffected, subject to reactivation of a subscription within twelve (12) months.
1.8 Team Accounts
For team or workspace plans, Credits constitute a shared pool accessible to all Authorized Users of the workspace. Customer is solely responsible for any internal policies allocating Credits among its Authorized Users and for any caps it wishes to apply to them.
1.9 Mid-Term Plan Changes
Customer may at any time upgrade to a higher plan, commitment tier, or Credit allocation. Upgrades take effect immediately upon confirmation through the billing portal or by amendment to the Order Form. The new fees, allocations, and any applicable discounts apply from that date, prorated for the remaining portion of the current billing period where applicable.
Customer may also downgrade its plan or allocation where that option is available. Downgrades take effect upon confirmation: reduced fees apply from the next billing period, amounts already paid for the current period are neither refunded nor prorated, and Credits already granted for the current period remain available until the next reset, from which the new plan's allocation applies. Where the Order Form specifies a committed term or minimum commitment, reductions below those thresholds take effect only at the start of a Renewal Term.
2. Account Registration
Access to certain features requires Customer or an Authorized User to register an account. Customer agrees to provide accurate, current, and complete information and to keep it up to date.
Customer represents and warrants that any individual creating an account on its behalf is duly authorized to do so and to bind Customer.
3. Credentials and Account Security
Customer is solely responsible for safeguarding the confidentiality and security of all usernames, passwords, API keys, OAuth tokens, and other access credentials. Customer shall require strong, unique passwords for its Authorized Users and shall enable, where the Service allows, the strong authentication mechanisms made available.
Customer shall promptly notify Provider, at security@cobalt-ia.com, of any actual or suspected unauthorized access. Customer is responsible for all activities that occur under its account, whether or not authorized by Customer.
4. Onboarding Verification
Provider may request information reasonably necessary for identity verification, anti-money-laundering purposes, sanctions screening, or fraud prevention. Customer represents and warrants that the information provided for that purpose is accurate, current, and complete.
Provider may suspend or terminate the Service, in whole or in part, without liability, if Customer fails to provide the requested information within a reasonable time, or if Provider or its payment processor reasonably determines that the information provided is inaccurate, incomplete, or indicates a regulatory, sanctions, or fraud risk.
